These Terms of Service govern access to and use of the Coat & Convert client software available at system.coatandconvert.com.

1. Acceptance of Terms

By accessing or using the software, you agree to these Terms of Service. If you use the software on behalf of a company or other organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use the software.

2. The Software

Coat & Convert provides tools for marketing operations, client portals, reporting, lead tracking, booking forms, calendar workflows, and related agency services. Features may change over time, and some features depend on third-party services or integrations.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate account information and promptly update it when needed. You may not share access in a way that bypasses account controls or security requirements.

You retain ownership of data you submit to the software. You grant Coat & Convert permission to process that data as needed to provide, secure, support, and improve the software. You are responsible for ensuring that you have the rights and permissions needed to submit, connect, or process customer, lead, advertising, calendar, booking, and other data through the software.

6. Third-Party Services

The software may connect with third-party services such as Meta/Facebook, Google, Supabase, email providers, Slack, Zapier, CRM systems, and webhook destinations. Your use of third-party services is governed by their own terms and policies. We are not responsible for third-party services, outages, data handling, or changes.

7. Privacy

Our Privacy Policy explains how we collect, use, share, and protect information. By using the software, you acknowledge that information will be handled as described in that policy.

8. Fees and Payment

If your use of the software is subject to paid services, subscription fees, agency fees, or other charges, the applicable payment terms will be provided separately. Unless required by law or stated in a separate written agreement, payments are non-refundable.

9. Intellectual Property

The software, including its design, code, workflows, branding, and documentation, is owned by Coat & Convert or its licensors and is protected by intellectual property laws. These terms do not transfer ownership of the software to you.

We aim to keep the software available and reliable, but we do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue parts of the software at any time, including to maintain security, comply with law, or improve the service.

The software is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Coat & Convert will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from or related to the software or these terms.

13. Termination

We may suspend or terminate access to the software if you violate these terms, create security risk, fail to pay applicable fees, or use the software in a way that may harm us, other users, third parties, or the software. You may stop using the software at any time.

14. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will update the effective date above. Continued use of the software after an update means you accept the revised terms.
